This is an interesting M&A. I really like Stanley tools and I can't really say much bad about Black&Decker. However, wasn't B&D and Delta doing business together. If so, it could be said that Delta has just dumped B&D off to Stanley Tool Works.

I may be mistaken about there having ever been an M&A with B&D and Delta.

I believe that Black & Decker, Delta, and Porter Cable are presently under the same ownership. Has B&D been split off or has Stanley purchased the whole package?

Were the three (B&D, PC and Delta) ever merged into one business entity? I don't think so! It is my understanding that they were held jointly by the same corporation but that they retained their individual corporate identities.

Black & Decker, the parent company of DeWalt and a number of other power tool and home improvement brands, announced on July 19 that it is acquiring the Tools Group from Pentair for $775 million in cash. The purchase includes the Porter-Cable, Delta, Devilbiss Air Power, Oldham Saw, and Flex tool brands. The Tools Group had 2003 sales of $1.08 billion. The deal is expected to close later this year.

So, this is an interesting development for Stanley. Very interesting.

Maybe so but they did change their product lines to not compete with each other. Porter Cable was taken down a notch so that brand is more like the Old Black and Decker Firestorm tools. PC took over Devilbiss and that name is gone.

I happen to work for a company that is owned by a much larger company. They do say we are run independent. We have our own CEO, accounting, buyers etc.. but we often get told "thats not a good idea" on an idea we have.
You are never truly independent when someone else controls the money.

Will be interesting to see what happens.

It is my understanding that they were held jointly by the same corporation but that they retained their individual corporate identities.B&D (and their stockholders) outright own those other brands and DeWalt too! B&D kept the product lines seperate, but they did eliminate many competing items in the various lines. For example, when they bought Oldham, they quit making the Viper router bits (Oldham's router bit line), in favor of Porter Cable's router bits. Stock market reports seem to think this is in hope of an increase in the home improvement market. Additionally BD has been hoarding liquid assets. From my point of view, I hope and pray the economy gets better and increased construction pushes the tool market. Again, my opinion only, I never thought much of new BD tools. They really are low end.
